Genmab is looking for a dedicated Corporate Secretarial Assistant to support the Corporate Secretary. This position is based in our Copenhagen office.

The Corporate Secretarial Assistant will support the Corporate Secretary with the preparation and planning of meetings and the administration of Genmab’s board portal. The Corporate Secretarial Assistant will also be involved in reviewing and proof-reading of board and board committee materials, preparation of general meetings and shareholder meetings as well as the ongoing support of corporate secretariat activities.

The Corporate Secretarial Assistant will be part of the corporate secretariat reporting to the Vice President, Corporate Secretary located in Copenhagen.  
 

Responsibilities

The key responsibilities include, but are not limited to:

  • Being responsible for the general administration of Genmab’s board portal, including uploading documents, maintaining records and distributing documents for signature
  • Being super user of Genmab’s board portal, including the day-to-day support and training of portal users, and ensuring that all portal users have access to relevant information
  • Assist with the scheduling and organization of board meetings and board committee meetings, including coordination of meeting logistics, preparation of meeting materials, and communication with board members and other stakeholders
  • Assist with the preparation and planning of governance meetings with investors and other stakeholders
  • Assist with the review and proof-reading of governance related disclosures, including parts of the annual report and ancillary reports linked thereto
  • Draft, review, and revise documents as directed
  • Maintain confidential files and contact lists; handle sensitive information with integrity and discretion
  • Provide administrative support, including drafting correspondence, booking meetings and travel, archiving as well as preparing and submitting expense reports and purchase requests
  • Liaise with other departments and external parties to gather information and documents as needed
  • Assist in compliance with corporate governance policies and regulations
  • Prepare reports and presentations for internal use
  • Perform other related duties as assigned to support the Corporate Secretary

Qualifications

  • Proven experience as legal secretary, paralegal, or similar administrative role in a legal setting
  • Understanding of the basic principles of Danish corporate law
  • Strong understanding of corporate governance practices and board-related procedures.
  • Proficiency with board portal software and other digital tools used for document management and meeting scheduling
  • Detail-oriented with an interest in building, improving, and streamlining processes
  • Excellent interpersonal and communication skills in Danish and English, both verbal and written
  • Ability to learn new techniques, perform multiple tasks simultaneously, keep accurate records, follow instructions, and comply with company policies
  • Ability to prioritize and work in a fast-paced environment with tight deadlines
  • Proven ability to work independently, collaboratively, and cross-functionally
  • Experience with working in an international environment
  • Good sense of quality combined with personal drive and a positive attitude
  • Ability to maintain strict confidentiality within the areas of responsibility
  • Flexible, proactive and service-minded
